The Met Office alert comes into effect at 07:00 GMT on New Year's Day and lasts until 23:59.
Adur and Worthing Councils said it would not open Worthing Pier on New Year's Day to ensure public safety.
The windy conditions could cause transport disruption, power outages and affect coastal areas due to large waves.
The Met Office said people should prepare to protect themselves and their properties.
It said residents should check for loose items outside their homes, including bins, trampolines and fences, and plan how they could be secured.
It added that power cuts could also occur.
Across the UK, some New Year celebrations have been cancelled, including Edinburgh's outdoor Hogmanay celebrations and Blackpool's fireworks display.
